Terms of Service

These Terms of Service ("Terms") govern your use of the codeflamme.com website and any services provided by CodeFlamme (Private) Limited ("CodeFlamme," "we," "us," or "our"). By using our website or engaging our services, you agree to these Terms.
If you do not agree to these Terms, please do not use our website or services.
1. Who We Are
CodeFlamme (Private) Limited is a software development company registered in Pakistan, with our head office at:

2. Scope of Services
CodeFlamme provides digital product engineering services, including but not limited to web development, mobile app development, AI development, UI/UX design, SaaS development, DevOps and cloud infrastructure, and related services as described on our website.
The specific scope, deliverables, timeline, and cost of any engagement will be defined in a separate written agreement, proposal, or statement of work ("Project Agreement") between CodeFlamme and the client. These Terms apply in addition to, and do not override, any Project Agreement — where a conflict exists between these Terms and a signed Project Agreement, the Project Agreement takes precedence.
3. Discovery and Proposals
Initial discovery calls, consultations, and proposals are provided free of charge and do not constitute a binding agreement to provide services. A binding engagement begins only once both parties have signed a Project Agreement and, where applicable, an initial payment has been received.
4. Confidentiality and NDAs
We take confidentiality seriously. A mutual Non-Disclosure Agreement (NDA) is provided and signed before any sensitive project details are discussed, upon request. All information shared with us during discovery, proposal, and project execution is treated as confidential and is not disclosed to third parties without your written consent, except:
- As required by law
- To subcontractors or team members bound by their own confidentiality obligations, and only where explicitly disclosed and agreed with you in advance
- As necessary to deliver the agreed services
5. Intellectual Property
5.1 During the Project
Until full payment is received, all work product, source code, designs, and deliverables remain the intellectual property of CodeFlamme.
5.2 Upon Full Payment
Upon receipt of full payment for a project, all source code, design files, documentation, and other deliverables created specifically for that project transfer to the client. This transfer is formalized via a written IP Assignment Agreement, provided as part of the standard project process.
5.3 Pre-Existing IP and Third-Party Tools
CodeFlamme retains ownership of any pre-existing tools, frameworks, libraries, or methodologies used in delivering the project, provided they are not proprietary to the client's specific project and do not prevent the client from independently using or modifying their delivered work.
5.4 No Reuse of Client-Specific Work
CodeFlamme does not reuse client-specific code, designs, or business logic developed for one client in work delivered to another client.
6. Payment Terms
6.1 Pricing Models
Projects are billed on either a fixed-price or time-and-materials basis, as agreed in the Project Agreement.
6.2 Payment Schedule
Payment schedules are milestone-based unless otherwise agreed. Typical terms include an upfront deposit, with remaining payments tied to project milestones or delivery phases, as specified in the Project Agreement.
6.3 Currency and Method
Invoices are issued in USD unless otherwise agreed. Payment is accepted via bank transfer, our client portal at portal.codeflamme.com (integrated merchant billing), or other methods as specified in your invoice.
6.4 Late Payment
Late payments may result in a pause of work until payment is received. Continued non-payment may result in termination of the Project Agreement and suspension of deliverables, in accordance with the terms outlined in the Project Agreement.
6.5 Refunds
Refund eligibility and terms are governed by our Refund Policy.
7. Client Responsibilities
To deliver services effectively, we ask that clients:
- Designate a single point of contact ("Product Owner") who can answer questions and make decisions within a reasonable timeframe (typically 24 hours)
- Provide timely feedback during review cycles and sprint demos
- Provide necessary access, credentials, and materials required to complete the project
- Review and approve deliverables at agreed milestones
Delays caused by the client's failure to meet these responsibilities may result in corresponding delays to the project timeline, for which CodeFlamme is not responsible.
8. Change Requests
Any change to the agreed project scope must be documented as a formal change request, including its impact on timeline and cost, and must be approved in writing by both parties before work begins. CodeFlamme is not obligated to perform work outside the agreed scope without an approved change request.
9. Warranties and Disclaimers
9.1 Service Warranty
CodeFlamme warrants that services will be performed with reasonable skill and care, consistent with industry standards.
9.2 No Guarantee of Business Outcomes
While we design and build with your business goals in mind, CodeFlamme does not guarantee specific business outcomes (e.g. revenue, user growth, conversion rates) resulting from delivered work, as these depend on factors outside our control.
9.3 As-Is Disclaimer
Except as expressly stated in a Project Agreement, services and deliverables are provided "as is" without warranties of any kind, whether express or implied, to the fullest extent permitted by applicable law.
10. Limitation of Liability
To the fullest extent permitted by applicable law, CodeFlamme's total liability arising out of or related to any engagement shall not exceed the total fees paid by the client for the specific project giving rise to the claim. CodeFlamme shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising from the use of our services.
Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
11. Post-Launch Support
Unless otherwise specified in the Project Agreement, projects include a minimum 3-month post-launch support period covering bug fixes and critical issue resolution. Ongoing maintenance beyond this period is available via a separate maintenance retainer agreement.
12. Termination
Either party may terminate a Project Agreement in accordance with the termination terms specified in that agreement. In the absence of specific termination terms, either party may terminate with 14 days' written notice. Upon termination, the client is responsible for payment for all work completed up to the termination date.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Pakistan, without regard to conflict of law principles, unless otherwise specified in a Project Agreement with a client based in a different jurisdiction. Any disputes arising from these Terms or a Project Agreement will first be addressed through good-faith negotiation between the parties before pursuing formal legal action.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
